1. MC's weights (or MC's measurements in case of Products sold by volume) taken at shipping points shall govern. MC产品的重量按照MC实际装运点实际测的重量(或按体积销售产品时按照MC的实际测量)为准。 2. MC may recover for each delivery as a separate transaction, without reference to any other delivery. If Distributor is in default with respect to any of the terms or conditions of any contract with MC, MC may, at its option, suspend further deliveries until such default is remedied (in which event, if MC so elects, the contract period will be deemed extended by a time equal to that during which deliveries are so suspended), or, without prejudice to any other legal remedy, MC may decline further performance. Any tax or other governmental charge upon the production, sale and/or shipment of the Products, now imposed by any governmental authority or hereafter becoming effective, will be added to the price paid by Distributor. Failure of MC to make or of Distributor to take any delivery (or portions thereof) when due, if occasioned by (a) an act of God or the public enemy, fire, explosion, perils of the sea, flood, drought, war, riot, sabotage, accident, embargo, epidemics; or (b) without limiting the foregoing circumstances, any circumstance of like or different character beyond the reasonable control of the party so failing; or (c) interruption of or delay in transportation, inadequacy or shortage or failure of normal sources of supply of Products, equipment, or production, whether or not within the control of MC or Distributor, or (d) breakdowns, labor trouble from whatever cause arising and whether or not the demand of the employees involved are reasonable and within said party's power to concede; or (e) compliance by MC or Distributor with any order, action, direction or request of any governmental officer, department, agency, authority or committee thereof, including any direction or order restricting or limiting the selling price of the Products or of any Products produced in conjunction therewith or in connection with which such Products are used, which renders it impracticable for MC or Distributor, in its sole discretion, to make a reasonable profit on such production or use; whether in any case the circumstance now exists or hereafter arises, will not subject such party to any liability to the other and, at the option of either party, the total quantity to be delivered will be reduced by the quantity of the delivery or deliveries (or portions thereof) so omitted. If MC's supply of Products is insufficient to meet all requirements, MC will have the right, at its option, and without liability to apportion its available sales supply among its customers, including its affiliated divisions and companies, in such manner as MC believes equitable. MC warrants that at delivery the Products conforms to MC's specifications. THERE IS NO REPRESENTATION OR WARRANTY THAT PRODUCTS SUPPLIED HEREUNDER IS OF MERCHANTABLE QUALITY OR IS FIT FOR ANY PARTICULAR PURPOSE EVEN IF THAT PURPOSE IS KNOWN TO MC NOR IS THERE ANY OTHER WARRANTY, EXPRESS OR IMPLIED, EXCEPT SUCH AS IS EXPRESSLY PROVIDED HEREIN. MC保证，交付的产品符合MC的规格。MC不保证本协议项下供应的产品有任何适销性或适合任何特殊目的，即使此目的已被MC所知。且除本协议明确规定之外，也没有其他明示或默示的保证。 8. Any modification to these conditions of sale will not be binding upon MC until accepted and countersigned on its behalf by an officer or other authorized representative.
